General Terms and Conditions of Use (GTCU)

1. Identity

The Site is published and operated by Global Data and BI Inc. (“GDBI,” “we,” “us” or “our”), a corporation incorporated under the Canada Business Corporations Act and registered to carry on business in Ontario and Québec.

Global Data and BI Inc. operates under the name NoèmeX for its enterprise transformation, consulting and technology services and offers software products under the Noème.ai product family.

2. Definitions

• “Site” means noemex.com and the pages, forms and content published on it.
• “GDBI,” “We,” “Us,” “Our” means Global Data and BI Inc.
• “You,” “User” means anyone browsing or using the Site.
• “Content” means the text, design, graphics, logos and underlying code published on the Site.

3. Use and Undertakings of the User

3.1 Who can use this Site

The Site is directed at businesses and working professionals evaluating NoèmeX services, and at job applicants. It is not directed at children, and users submitting forms must be old enough in their jurisdiction to enter into a binding agreement.

3.2 Acceptable use

You agree not to, and not to attempt to:

• Submit false, misleading or fraudulent information through the Site.
• Circumvent or interfere with anti-abuse controls, including bot checks and rate limits.
• Attempt unauthorized access to the Site, infrastructure or data submitted by other users.
• Use automated means in a way that places unreasonable load on the Site or violates its robots directives.
• Upload or transmit malware or harmful code.
• Use the Site to violate law, including CASL or infringe third-party intellectual-property, privacy or other rights.
• Use Site content to build a competing product or service or train a machine-learning model without prior written consent.

We may suspend or block access from sources reasonably believed to be violating these conditions.

3.3 Information you submit to us

When you submit a contact, sales or partnership enquiry, download request or job application, you represent that the information is accurate and that you have the right to provide it. Personal information is handled under the Personal Data Charter and, for applicants, the Global Recruiting Privacy Policy.

Do not submit sensitive personal information through general contact forms. Resume and application content is governed by the recruiting privacy policy.

3.4 Suspension and termination of access

We may suspend or terminate access to the Site or forms if we reasonably believe the Site has been misused or these Terms have been violated. Provisions that by their nature should survive termination continue to apply.

4. Intellectual property

The Site and its Content, including the Global Data and BI, NoèmeX and Noème.ai names and marks, are owned by GDBI or its licensors and are protected by copyright, trademark and other intellectual-property laws. Browsing the Site grants no licence to reproduce, distribute, modify or create derivative works beyond normal use in a web browser and normal attributed quotation or link sharing.

Feedback, suggestions or ideas sent about the Site may be used by GDBI without restriction or obligation unless otherwise agreed in writing.

5. Hyperlinks

5.1 Links from this Site

The Site may link to third-party websites, including professional networking profiles, partner sites and resources. We do not control third-party content, privacy practices or availability.

5.2 Links to this Site

You may link to publicly available Site pages provided the link does not falsely suggest endorsement, sponsorship or affiliation, and the Site is not framed or presented in a misleading way.

6. Formal notice

6.1 No professional advice

Site content, including articles, case studies and service descriptions, is provided for general informational purposes and is not a substitute for professional advice specific to your organization. Consulting engagements and Noème.ai product use are governed by separate signed agreements, not these GTCU.

6.2 Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. GDBI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY DOWNLOAD, VERIFICATION OR EMAIL DELIVERY WILL OCCUR WITHOUT DELAY.

6.3 Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GDBI AND ITS OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO USE OF THE SITE.

This limitation does not apply where exclusion is prohibited by law, including liabilities that cannot lawfully be excluded under mandatory law.

6.4 Indemnification

You agree to indemnify and hold GDBI harmless from claims, losses or expenses arising from your violation of these Terms or misuse of the Site, except to the extent caused by GDBI’s own breach or applicable law.

7. Updates of these Terms and applicable law

7.1 Governing law and jurisdiction

These Terms are governed by the laws of Ontario, Canada, with Canadian federal law applying where relevant. Mandatory rights applicable to users in the European Union, EEA, UK, Switzerland or other jurisdictions are not displaced by this provision.

7.2 Dispute resolution

Before initiating a formal legal claim, contact data-protection@noemex.com so the issue can be reviewed informally.

7.3 Changes to the Site and these Terms

We may modify or discontinue Site features, forms or resources and may update these Terms. The “Last updated” date reflects the current revision. Significant changes may receive additional notice.

7.4 General

If a provision is found unenforceable, remaining provisions remain effective. Failure to enforce a provision is not a waiver. These Terms, together with the Personal Data Charter and, for applicants, the Global Recruiting Privacy Policy, govern use of the Site.
